Wellness Distribution Ltd Terms & Conditions of Trading

  1. Interpretation / Head Conditions

All sales made by Wellness Distribution Ltd (“seller”) to you (“Customer”) are subject to these Terms and Conditions of Sale unless otherwise indicated by Wellness Distribution Ltd in writing.

The seller reserves the right to amend to modify these Terms and Conditions of sale at any time at its sole discretion. The seller shall not accept the Customers purchase orders unless and until the Customer consents to these Terms and Conditions of sale and is duly approved by the Seller.

These Terms and Conditions of sale as set forth in this document will govern all transaction between Customer and Seller, and will also apply to all future transaction unless modified in writing and agreed between both parties.

  1. Title

The seller maintains ownership of all goods supplied which remain the sellers property until payment is received in full for all sums then owed by the customer. Until complete payment has been received, ownership of goods cannot be transferred from the seller to the customer.

The customer is liable for all risks to goods once in their possession. Whilst still under their ownership, the sellers goods must be stored securely and be identifiable as goods belonging to the seller. Reasonable insurance should be in place to cover liability to goods as is commensurate with the nature of the customers business, and is in line with good business practices.

  1. Pricing

All prices quoted are exclusive of Value Added Tax (VAT) unless otherwise stated. VAT will be charged at the prevailing rate at the time of invoicing.   

Any quotations given by the Seller are not binding and are subject to change. The seller reserves the right to revise pricing prior to delivery, to reflect any changes in our costs or conditions after the date of quotation and before the despatch date.

Where a quote is accepted by the customer it is under the assumption that sufficient information is available to the seller so that they may proceed with the order, and that in the event there is not sufficient information available the quotation and pricing will be subject to change as is required by the seller to cover additional costs incurred as a result.

Prices quoted include delivery for orders over the stated threshold and that are being delivered to mainland UK (unless otherwise stated).

  1. Delivery

All delivery times quoted are given as a guide and the seller cannot be held responsible for delays outside of their control. All efforts will be made to adhere to specified delivery times but the seller holds no liability for any failure to do so, unless expressly specified in advance and in writing.

All orders are subject to delivery cost unless specified or agreed in advance. A delivery will have been deemed as complete once the buyer has received the goods, acknowledged by a signature where applicable. After such time the customer accepts there will be no further basis for claim against the supplier.

A delivery may be declined if it is deemed that it would be unsafe, unlawful or unreasonably manageable to do so, or if the customers premises and access to it is unsuitable for the courier.

Where there is a failure by the seller to deliver within a reasonable time frame the customer may cancel the order, unless notice has been received after it has already been dispatched. Any accepted cancellation by the customer will result in no further claim against the seller.

  1. Defects & Returns

All sales are considered final.

Customers are advised to examine all goods delivered upon receipt and to advise the seller of any defects, shortages or damages to goods immediately. Claims arising out of such circumstances will only be acknowledged if the seller is notified within 4 working days with full details and the opportunity for the seller to investigate.

The sellers wholesale sales are non-returnable. Returns will only be accepted due to faulty or erroneously supplied goods and for product recalls.

Returns will only be accepted when agreed in advance and confirmed in writing. The returned goods will be sent back to the seller as they were received and reasonable precaution will be taken by the customer to appropriately secure the goods for return. The sellers accepts no liability for goods (further) damaged in transit whether as a result of unsuitable packaging or otherwise.

In the event an item is defective or does not comply with its intended description, the seller agrees to repair, replace or refund the customer at the sellers option so long as the above criteria has been met for reporting such defects.

  1. Payments

Credit accounts are opened subject to satisfactory references and credit checks. By completing the application the customer agrees to the seller performing relevant credit reference checks.

Payment terms are proforma unless specifically agreed in advance and approved by the seller. For customers qualifying for a credit account, payment terms are 30 days from last day of the invoiced month.

The customers failure to pay the seller by the due date may results in: suspension or cancellation of future deliveries; cancellation of any discount available to the customer; claim fixed sum compensation for cost of credit control overheads from the customer and recovery of costs associated with taking legal action to recover payments still outstanding.

If the sellers terms and conditions are not adhered to then the seller has all right to cancel this contract and suspend further supply whilst still being entitled to claim against the customer for any loss as a consequence of terminating the contract.

Where the customer is not a private individual, the signatories of this agreement hereby personally guarantee to pay on demand all money and liabilities of the customer arising under this agreement now or at any time in the future without limitation in the amount. We may demand payment from you as a guarantor without obtaining payment from the customer beforehand.

  1. Risk

The customer will indemnify the seller in full and hold them harmless from all expenses and liabilities incurred following the customers failure to uphold their obligations under these terms and conditions.

All risk associated with goods will transfer to the customer once in their possession.
